These Terms of Service (“Terms”) govern your access to and use of the website located at https://realtyuxe.com/, including any subdomains, mobile applications, AI-powered features, tools, content, and services (collectively, the “Service”) provided by RealtyUXE (“we,” “us,” “our,” or “RealtyUXE”).By accessing, browsing, signing up for the waitlist, registering, submitting a listing, using any AI-enhanced features, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Acceptance of Terms
Your use of the Service is also governed by our Privacy Policy (once published) and any additional guidelines, rules, or terms we may post from time to time. All such materials are incorporated by reference into these Terms.

2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into binding contracts to use the Service. By using the Service, you represent and warrant that you meet all eligibility requirements and that all information you provide is accurate, current, and complete.

3. Account Registration and Security
Certain features (including listing submissions and AI enhancements) may require you to create an account. You agree to:  

• Provide accurate registration information;  
• Maintain the confidentiality of your account credentials;  
• Notify us immediately of any unauthorized use;  
• Be fully responsible for all activities under your account.

We reserve the right to suspend or terminate accounts for any violation of these Terms.

4. Listings and Content Submission
You may submit property listings for AI enhancement and buyer experience improvement, subject to applicable fees. By submitting a listing or any content (“User Content”), you represent and warrant that:  

• You have all necessary rights, licenses, and permissions to submit the content;  
• The content is accurate, not misleading, and complies with all applicable real estate, advertising, fair housing, and consumer protection laws;  
• The property is lawfully available for listing/sale/lease;  
• The content does not infringe any third-party rights (intellectual property, privacy, publicity, etc.).

We do not verify listings or User Content. You are solely responsible for your User Content and any consequences of submitting it.

 4.1 Photos and Media Uploads; AI Enhancement

In addition to general User Content, you may upload photographs, images, videos, or other media related to real estate listings (“Listing Media”) for AI-powered enhancement processing (e.g., brightness adjustment, virtual staging, noise reduction, object removal/addition, or other improvements to improve buyer experience).  By uploading Listing Media, you represent and warrant that:  

• You own all rights, title, and interest in the Listing Media or have obtained all necessary licenses, permissions, consents, and releases from the copyright owner(s), any persons appearing in the media (including model releases where required for commercial use), and any other third parties whose rights may be implicated;  
• You have provided (or will provide upon request) written confirmation of such copyright and other permissions if we request it;  
• The Listing Media is accurate, not misleading, complies with all applicable laws (including real estate advertising, fair housing, and intellectual property laws), and does not infringe any third-party rights (including copyright, trademark, privacy, publicity, or moral rights);  
• The Listing Media does not contain unlawful, defamatory, obscene, or harmful content.

License Grant for Listing Media By uploading Listing Media or any other User Content, you grant RealtyUXE a non-exclusive, worldwide, royalty-free, sublicensable (to our service providers and AI processors), transferable, perpetual, irrevocable license to:  

• Use, reproduce, modify, adapt, enhance, process, create derivative works from, publicly display, distribute, and store the Listing Media solely for the purpose of providing the Service, including AI enhancement of the photos, generating enhanced versions, displaying them in connection with your listings, and delivering the enhanced results to you;  
• Use anonymized or aggregated derivatives of the Listing Media for internal purposes such as service improvement, analytics, debugging, or quality assurance (provided such use does not identify you or any specific property/listing without your consent).

We will not use your Listing Media to train, fine-tune, or improve our AI models for general or third-party use unless you provide separate explicit consent (e.g., via an opt-in feature). Enhanced versions of your Listing Media remain subject to your ownership (subject to the license above), and we claim no ownership over the original or enhanced Listing Media beyond the rights granted herein.  We may store uploaded Listing Media temporarily for processing and may retain copies for a limited period (e.g., 30–90 days) for backup, dispute resolution, or legal compliance, after which they are deleted unless needed for ongoing Service features or legal obligations. You are solely responsible for backing up your original media.  We reserve the right (but have no obligation) to review, reject, remove, or decline to process any Listing Media that we believe violates these Terms, applicable law, or our policies.  

5. AI-Enhanced Features and Disclaimers
The Service uses artificial intelligence to enhance buyer experiences (e.g., generating descriptions, recommendations, matching, or other outputs). AI-generated content (“AI Output”) is provided for informational and convenience purposes only.  

• AI Output may contain errors, inaccuracies, hallucinations, biases, or outdated information.  
• We do not guarantee the accuracy, completeness, reliability, or suitability of any AI Output.  
• Do not rely on AI Output for making real estate decisions, valuations, legal advice, or financial commitments.  
• Always verify AI Output independently and consult licensed professionals (real estate agents, appraisers, attorneys, etc.) as needed.

6. Fees and Payment 

• The first listing is provided free of charge (subject to change).  
• Additional listings are charged at $1,000 per listing (or the then-current rate displayed on the Service).  
• Fees are non-refundable unless expressly stated otherwise.  
• We may modify pricing at any time with notice (via the Service or email).  
• Payment is processed through third-party providers; you agree to their terms.

7. Prohibited Conduct
You agree not to:  

• Submit false, fraudulent, misleading, discriminatory, or illegal listings/content;  
• Violate any law, regulation, or third-party rights (including fair housing laws);  
• Use the Service to infringe intellectual property, privacy, or publicity rights;  
• Attempt to reverse-engineer, scrape, interfere with, or disrupt the Service or its AI systems;  
• Transmit viruses, malware, or spam;  
• Use the Service for any unauthorized commercial purpose beyond intended listing enhancement.

8. Intellectual Property 

• The Service, including text, graphics, AI models, software, designs, and logos, is owned by RealtyUXE or its licensors and protected by U.S. and international copyright, trademark, and other laws.  
• We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for its intended purpose during your authorized access.  
• You retain ownership of your User Content but grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, display, distribute, and create derivative works from it in connection with operating, improving, and promoting the Service (including AI training, subject to applicable privacy laws).

9. Disclaimers
THE SERVICE AND ALL AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR RELIABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED. WE ARE NOT A LICENSED REAL ESTATE BROKER, AGENT, APPRAISER, OR ATTORNEY, AND WE DO NOT FACILITATE, NEGOTIATE, OR PARTICIPATE IN REAL ESTATE TRANSACTIONS.

10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REALTYUXE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, DATA, GOODWILL, OR REAL ESTATE OPPORTUNITIES) ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification
You agree to indemnify, defend, and hold harmless RealtyUXE and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from: (i) your User Content or listings; (ii) your violation of these Terms; (iii) your violation of any law or third-party rights; or (iv) any transaction or dispute related to properties you list.

12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violations of these Terms. Upon termination, your right to use the Service ends immediately, but Sections 8, 9, 10, 11, 13, and 14 survive.

13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of [Insert your state, e.g., Delaware or California], without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in [Insert county/city, e.g., New Castle County, Delaware]. You waive any objection to venue or inconvenience of forum.

14. Changes to Terms
We may update these Terms at any time. We will post the revised version on the Service and update the “Last Updated” date. Continued use after changes constitutes acceptance. Material changes may be notified via email or prominent notice on the Service.

15. Miscellaneous 

• These Terms constitute the entire agreement between you and RealtyUXE.  
• If any provision is held invalid, the remainder remains in effect.  
• Our failure to enforce any right does not waive it.  
• You may not assign these Terms without our consent; we may assign them freely.  
• No agency, partnership, or joint venture is created.
